Terms of Service

These Terms govern your use of KC Content Engine (the "Service"), provided by KC Consulting ("KC," "we," "us"), a Texas-based marketing consultancy. By signing up or using the Service you agree to these Terms. If you don't agree, don't use the Service.

1. The Service

KC Content Engine is a multi-tenant SaaS platform for marketing agencies and consultants to plan, generate, and publish content across platforms. Features include AI-assisted ideation, knowledge-base RAG chat, image and carousel generation, and publishing handoff or direct integrations.

2. Your account

• You must provide accurate registration information and keep it current.
• You are responsible for everything that happens under your account, including content uploaded and AI generations triggered.
• Don't share credentials. If you suspect unauthorized access, email info@kcconsulting.co immediately.

3. Acceptable use

You agree not to use the Service to:

• Generate content that is illegal, defamatory, harassing, sexually explicit involving minors, or that infringes third- party intellectual property or privacy rights.
• Impersonate another person or brand without authorization.
• Reverse-engineer the Service, scrape it, or attempt to circumvent rate limits or tier gates.
• Use the Service to train competing AI models on its outputs or your own KCCE content.
• Violate the terms of any underlying provider (Anthropic, OpenAI, Google, LinkedIn, TikTok, Stripe, etc.).

We may suspend or terminate accounts that violate these rules.

4. Pricing and payment

• Pricing tiers, setup fees, AI credits, video credits, and overage rates are documented at /pricing. Those terms are incorporated by reference here.
• Subscriptions renew monthly until canceled.
• Setup fees are one-time per slot and non-refundable.
• Cancellation drops your account to Ideation tier; production access pauses. Knowledge Base and brand kit remain readable. Resubscribing reactivates production without re-paying setup.

5. Content ownership

• Your content. Briefs, brand assets, intake answers, uploaded documents, and any content you create or generate using the Service belong to you. You retain all rights.
• Your license to us. You grant KC a limited, non-exclusive, royalty-free license to host, process, transmit, and display your content for the sole purpose of providing the Service to you. This includes sending prompts and context to the third-party AI providers listed in our Privacy Policy.
• Our IP. The Service itself — software, UI/UX, models, configurations, prompts, and brand — is owned by KC Consulting. These Terms grant you a right to use the Service, not a transfer of any KC intellectual property.
• AI output. Outputs of generative models can be unpredictable. You are responsible for reviewing and approving every AI-generated asset before you publish it. You agree that AI outputs may resemble outputs received by other users from the same model.

6. Third-party providers

The Service integrates with Anthropic, OpenAI, Google, Voyage, Stripe, Clerk, Supabase, Resend, Inngest, Vercel, Sentry, LinkedIn, and TikTok (among others as added). When you use a feature powered by a third party, that provider's terms apply to their portion of the work. We aren't responsible for third-party outages, billing changes, or terms changes — we do our best to keep the Service working through them.

7. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, KC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee that AI outputs are accurate, brand-safe, or fit for any specific use — that's on you to verify.

8. Limitation of liability

To the maximum extent permitted by law, KC's total aggregate liability arising out of or related to the Service is limited to the amount you paid to KC in the 12 months preceding the claim. KC is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages — including lost profits or revenue — even if we knew or should have known they were possible.

9. Indemnification

You agree to defend, indemnify, and hold harmless KC, its officers, employees, and contractors from any claim, damage, liability, or expense (including reasonable attorneys' fees) arising from your content, your use of the Service, or your breach of these Terms.

10. Termination

• You may cancel at any time via Settings → Plan & Credits.
• We may suspend or terminate accounts for non-payment, abuse, or violation of these Terms.
• Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability, indemnification, governing law) survive.

11. Changes to these Terms

We'll update these Terms as the Service evolves. Material changes will be announced via in-app notice or email. Continued use after a change means you accept the updated Terms.

12. Governing law and disputes

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict of laws principles. Any dispute arising from or relating to the Service will be resolved in the state or federal courts of Dallas County, Texas, and you consent to personal jurisdiction there.
